Retail Partner Agreement
Standards, permissions, and operating terms for approved ANZA® retail partners placing the brand within intentional, elevated environments.
ANZA® RETAIL PARTNER AGREEMENT
Introduction
This Retail Partner Agreement (“Agreement”) outlines the terms under which ANZA, LLC (“ANZA,” “we,” “our,” or the “Company”) permits approved retail partners (“Partner,” “Client,” or “you”) to purchase, present, offer, and where authorized, retail ANZA® products within approved environments.
By submitting an application, accepting partner access, and/or placing a partner order with ANZA, you acknowledge that you have read, understood, and agree to the terms of this Agreement.
1. Partner Approval & Account Access
ANZA maintains a selective retail partner model designed to protect brand integrity, product positioning, and overall partner experience.
Partner access is granted only after review and approval by ANZA. Approval is discretionary and may be approved, denied, paused, limited, or revoked by ANZA at any time.
Initial partner approval does not guarantee access to all pricing levels, ordering permissions, or account settings. Account access, pricing visibility, and ordering permissions may be reviewed and updated by ANZA based on order activity, account fit, and partner alignment.
2. Ordering & Volume-Based Pricing
Approved retail partners may place orders at flexible quantities, including single-case purchases. There is no required minimum opening order unless otherwise agreed in writing by ANZA.
Partner pricing is based on total order volume at the time of purchase. Preferred pricing begins at three (3) cases, enhanced pricing begins at ten (10) cases, and highest-tier partner pricing begins at one hundred (100+) cases.
Current pricing breaks may apply to the following order quantities:
- 1–2 cases
- 3–9 cases
- 10–99 cases
- 100+ cases
ANZA reserves the right to review, revise, or limit pricing access at its discretion.
3. Ordering, Payment & Account Review
All orders must be paid in full at the time of purchase unless otherwise approved in writing by ANZA.
Accepted payment methods may include credit card, debit card, ACH transfer, wire transfer, Shop Pay, or other approved payment methods made available by ANZA.
ANZA may review partner account activity periodically. Accounts with prolonged inactivity, inconsistent ordering patterns, misuse of partner access, or misalignment with the ANZA brand may be subject to review, pause, reassignment of pricing access, or termination.
4. Pricing Confidentiality
Partner pricing is confidential and intended solely for approved ANZA retail partners.
Partners may not disclose, publish, circulate, or share confidential pricing, discounts, order structures, internal partner materials, or related account terms with unauthorized third parties.
5. Private Label & Product Modification Restrictions
ANZA does not offer private label, white label, custom formulation, rebranding, or relabeling.
Partners may not alter ANZA products, labels, packaging, names, claims, or presentation in any way that misrepresents the brand or product.
6. Shipping, Delivery & Receiving
All shipments are FOB from ANZA’s designated fulfillment location unless otherwise stated in writing.
Shipping costs are the responsibility of the Partner unless otherwise noted by ANZA. ANZA is not responsible for delays caused by carriers, weather, customs, fulfillment interruptions, or other events outside of ANZA’s reasonable control.
Partners must inspect all delivered goods within two (2) business days of receipt and review for quantity accuracy, visible damage, and any delivery irregularities.
Damage or shortage claims must be submitted within two (2) business days of delivery and must include:
- Order number
- Photographs of exterior packaging
- Photographs of interior packaging and affected product
- Accurate count of affected units
Claims submitted after this period may not be honored.
7. Returns, Refunds & Replacements
Due to the consumable nature of ANZA products, returns are not accepted.
Refunds, credits, or replacements may be issued only in limited cases, including verified manufacturing defect or validated damage that occurred prior to receipt.
Products damaged due to improper storage, mishandling, environmental exposure, or operational issues after delivery are not eligible for return, replacement, or credit.
8. Brand Presentation, Merchandising & Representation
Partners agree to present ANZA in a clean, premium, and brand-aligned manner consistent with ANZA’s positioning in beauty, hydration, wellness, hospitality, and elevated retail environments.
Approved partners may use ANZA-provided or ANZA-approved assets, including:
- Official product photography
- Approved product descriptions
- Approved brand messaging
- Approved partner materials
Partners may not:
- Alter ANZA logos, colors, or visual identity
- Create misleading or unapproved claims
- Modify packaging or labeling
- Misrepresent the purpose, function, or benefits of ANZA
- Present ANZA in a manner inconsistent with the brand’s premium positioning
ANZA reserves the right to request removal, revision, or discontinuation of any partner-created materials, placement, or presentation that do not meet brand standards.
9. Bocktail Cards & Partner Materials
If Bocktail recipe cards, merchandising materials, or other partner resources are made available, they are intended for approved partner use only and must be used in a brand-aligned manner.
Availability, pricing, and access to these materials may vary based on account status, order activity, and ANZA’s current partner offerings.
10. Sales Channels & Distribution Restrictions
Approved partners may sell or serve ANZA only through approved channels, which may include:
- Their own physical retail locations
- Their own branded websites
- Approved professional service environments
- Approved hospitality or in-person partner environments
- Approved events or direct client experiences
Partners may not sell ANZA through unauthorized third-party marketplaces, including but not limited to:
- Amazon
- Walmart Marketplace
- eBay
- Etsy
- Unapproved third-party resellers or marketplaces
Partners also may not:
- Divert product to unauthorized resellers
- Engage in unapproved redistribution
- Sell outside approved channels or permissions
- Repackage or relabel ANZA products
- Represent themselves as a distributor unless specifically approved in writing by ANZA
11. Storage, Handling & Product Integrity
Partners are responsible for maintaining ANZA products in appropriate condition after delivery.
Products should be stored in a cool, dry, and appropriate environment, protected from excessive heat, freezing conditions, moisture, and direct sunlight. Inventory should be rotated responsibly.
ANZA is not responsible for degradation, packaging issues, or product loss caused by improper handling or storage after delivery.
12. MAP, MSRP & Advertising Integrity
ANZA may publish or communicate recommended retail pricing or pricing guidance from time to time.
Partners may not advertise ANZA in a way that damages the brand’s positioning, creates market confusion, or undermines partner pricing integrity.
ANZA reserves the right to review and address pricing behavior, advertising behavior, or promotional behavior that is inconsistent with the brand or partner program.
13. Compliance, Suspension & Termination
ANZA may suspend, restrict, or terminate partner access at any time if a Partner:
- Violates this Agreement
- Misuses partner pricing or partner access
- Sells through unauthorized channels
- Misrepresents ANZA products or branding
- Breaches confidentiality
- Engages in unethical, fraudulent, or misleading business practices
- Fails to remain aligned with ANZA’s partner standards
Upon suspension or termination, ANZA may require the Partner to cease use of ANZA branding, partner assets, partner pricing, and partner-only materials immediately.
14. Limitation of Liability
To the fullest extent permitted by law, ANZA shall not be liable for indirect, incidental, special, consequential, or lost-profit damages arising from or related to the partner relationship, product resale, delivery delays, shipping interruptions, storage conditions, or post-delivery handling.
ANZA’s maximum liability, if any, shall not exceed the amount paid for the specific affected order.
15. Governing Law
This Agreement shall be governed by and interpreted under the laws of the State of North Carolina, without regard to conflict of law principles.
16. Acceptance
By applying for partner access, accepting approval, and/or placing an ANZA partner order, the Partner acknowledges and agrees to be bound by this Agreement.
Acceptance becomes effective upon ANZA’s approval of the application and the Partner’s first approved order.
